Beeley-Fox Advisory is the trading name of Timothy Fox Limited (“we”, “us”, “our”). These Terms of Business govern all engagements between Timothy Fox Limited and our clients (“you”). Where there is a conflict between these terms and a signed engagement letter or proposal, the engagement letter takes precedence.
We provide consultancy, advisory, interim leadership and mentoring services as described in the relevant proposal. We perform our services with reasonable care and skill. We do not guarantee specific outcomes — results depend on factors including your organisation’s actions, market conditions and third-party decisions.
A proposal remains open for 30 days from the date issued. An engagement begins when you confirm acceptance in writing (including by email). We reserve the right to decline any engagement at our discretion, including where a conflict of interest exists.
We reserve the right to charge interest on overdue invoices at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
Notice periods unless otherwise agreed in the proposal:
Fees are payable for all work completed to the date of termination, plus committed expenses. We may terminate immediately where fees are not paid, or where you become insolvent.
We treat all information provided to us as confidential and will not disclose it to third parties without your consent, except where required by law. We may refer to you as a client in general marketing materials unless you ask us not to.
Intellectual property in Deliverables created specifically for you passes to you on receipt of full payment. We retain ownership of pre-existing methodologies and frameworks, granting you a non-exclusive licence to use them for the purposes of the engagement.
Our total liability shall not exceed the total fees paid by you in the preceding 12 months. We are not liable for indirect, consequential or special loss, loss of profit, or loss arising from decisions made by you based on our advice. Nothing in these terms limits our liability for death or personal injury caused by negligence, or for fraud.
We maintain professional indemnity insurance appropriate to the nature and scale of our engagements. Details are available on request.

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
